Conditions générales de vente et de livraison

1. Application des Conditions Générales de Vente

Les présentes Conditions Générales de Vente sont systématiquement adressées ou remises à chaque client pour lui permettre de passer commande..

En conséquence, le fait de passer commande implique l’adhésion entière et sans réserve de l’acheteur à ces Conditions Générales de Vente, à l’exclusion de tous autres documents tels que prospectus, catalogues, émis par RINCO et qui n’ont qu’une valeur indicative.

Aucune condition particulière ne peut, sauf acceptation formelle et écrite de RINCO, prévaloir sur les Conditions Générales de Vente. Toute condition contraire opposée par l’acheteur sera donc, à défaut d’acceptation expresse, inopposable à RINCO quel que soit le moment où elle aura pu être portée à sa connaissance.

Le fait que RINCO ne se prévale pas, à un moment donné, de l’une quelconque des dispositions des présentes Conditions Générales de Vente, ne peut être interprété comme valant renonciation à se prévaloir ultérieurement de l’une quelconque desdites dispositions.

2. Commandes

Les commandes ne sont définitives et ne sont prises en compte que lorsqu’elles ont été acceptées expressément par RINCO Elles ne sont confirmées par écrit (courrier, télécopie, email), qu’à la demande explicite du client. Sauf convention particulière, la confirmation de la commande entraîne pour le client acceptation des Conditions Générales de Vente, la reconnaissance d’en avoir parfaitement connaissance et la renonciation à se prévaloir de ses propres conditions d’achat.

Le bénéfice de la commande est personnel au client et ne peut être cédé sans l’accord de RINCO.

Toutes les commandes sont fermes et ne peuvent être annulées.

RINCO n’acceptera pas la modification ni la résolution de la commande et les éventuels acomptes versés ne seront pas restitués.

RINCO se réserve le droit d’apporter à tout moment toutes modifications qu’il juge utile à ses produits et de modifier sans avis préalable les modèles définis dans ses prospectus et catalogues.

3. Livraisons

3.1 Modalités

Les marchandises peuvent être livrées par RINCO ou récupérées par le Client à notre entrepôt d’Eragny. Dans tous les cas, le transfert des risques sur les produits vendus s’effectue à la sortie de nos entrepôts, sur les quais Les marchandises voyagent aux risques du Client, qui en prend livraison sous sa responsabilité, quel que soit le mode de transport ou le mode de règlement du prix. Il appartient au Client de vérifier lors de la réception la quantité, la qualité, le poids et les dimensions des marchandises livrées et, en cas d’avarie, d’exercer les recours éventuels à l’encontre du transporteur.

3.2 Délais.

Les livraisons ne sont opérées qu’en fonction des disponibilités et dans l’ordre d’arrivée des commandes. RINCO est autorisé à procéder à des livraisons de façon globale ou partielle.

Les délais de livraison sont indiqués aussi exactement que possible, mais sont fonction des possibilités d’approvisionnement et de transport de RINCO

Les dépassements de délais de livraison ne peuvent donner lieu à dommages-intérêts, à retenue, ni à annulation des commandes en cours.

La livraison dans les délais ne peut intervenir que si le client est à jour de ses obligations envers RINCO

3.3 Frais

Les frais d’emballage, de transport et de livraison sont à la charge du client. Les marchandises sont livrables franco de port.

3.4 Recours

Il appartient au client de vérifier le nombre, la nature et l’état de la commande à réception et en cas d’avarie ou de manquant, de faire toutes les réserves d’usage sur le bon de livraison, auprès du transporteur et d’en informer RINCO par lettre recommandée avec demande d’accusé de réception dans les quarante-huit (48) heures suivant la livraison de la commande. A réception du constat d’avarie ou de manquant, RINCO s’engage à remplacer les marchandises/pièces/matériaux perdus, non conformes ou détériorés, de sorte qu’ils correspondent à la commande initiale.

4. Réception

Sans préjudice des dispositions à prendre vis-à-vis du transporteur, les réclamations sur les vices apparents ou sur la non-conformité du produit livré au produit commandé ou au bordereau d’expédition, doivent être formulées par écrit dans les huit (8) jours suivant l’arrivée des marchandises, par lettre recommandée avec demande d’accusé de réception. Passé ce délai, aucune réclamation ne sera prise en compte.

Il appartiendra au client de fournir toute justification quant à la réalité des vices ou anomalies constatés. Il devra laisser à RINCO toute facilité pour procéder à la constatation de ces vices et pour y porter remède. Il s’abstiendra d’intervenir lui-même ou de faire intervenir un tiers à cette fin.

5. Retour des marchandises

5.1 Modalités

Tout retour de marchandise devra faire l’objet d’un accord formel entre RINCO et le client. Tout produit retourné sans cet accord serait tenu à la disposition du client et ne donnerait pas lieu à l’établissement d’un avoir. Les frais et les risques de retour sont à la charge du client. Aucun retour ne sera accepté après un délai un délai de 15 jours suivant la date de livraison.

Les marchandises renvoyées doivent être accompagnées de l’autorisation de retour délivrée par RINCO et doivent être dans l’état où RINCO les a livrées.

5.2 Conséquences.

Toute reprise acceptée par RINCO entraînera l’établissement d’un avoir au profit de l’acheteur, après vérification qualitative et quantitative des produits retournés ; les retours non conformes à la procédure ci-dessus, seront sanctionnés par la perte pour le client des acomptes éventuels qu’il aura versés.

En cas de vice apparent ou de non-conformité des produits livrés, dûment constaté par RINCO dans les conditions prévues ci-dessus, l’acheteur pourra obtenir le remplacement gratuit, ou le remboursement des produits au choix de RINCO, à l’exclusion de toute indemnité ou dommages-intérêts.

6. Terms of payment

6.1 Payments shall be made within 30 days from the date of the invoice (expiration date).

6.2 Payments shall be made at the RINCO ULTRASONICS AG’s domicile at her free disposal, without any deduction for discount, expenses, taxes, fees or the like.

6.3 In case of late payment, RINCO ULTRASONICS AG reserves the immediate suspension of outstanding supplies and services and is furthermore entitled to claim interest for delay at the rate of 6% p.a. The right to claim further damages is reserved.

7. Reservation of title

Until having received the full payments, RINCO ULTRASONICS AG shall remain the owner of all supplies. The customer has the obligation to take at his own costs all the measures necessary to protect RINCO ULTRASONICS AG‘s title (e.g. maintenance insurance). Furthermore, the customer is obligated at his own costs to cooperate in any measures and formalities necessary for the establishment and maintenance of a valid reservation of title. The customer authorizes RINCO ULTRASONICS AG to register or notify the reservation of title in the required form in public registers, books or similar records, all in accordance with relevant national laws

8. Time for delivery

8.1 The time for delivery shall start after the conclusion of the contract and the receipt of payments due at that date, the settlement of all official formalities and of the main technical issues. The time for delivery shall be respected if RINCO ULTRASONICS AG has notified the customer by that time that the supplies are ready for dispatch.

8.2 If delivery is delayed due to circumstances which cannot be prevented by RINCO ULTRASONICS AG despite of using the required carefulness, or if the delivery is delayed due to an act or omission or due to a non- or delayed performance of contractual obligations on the part of the customer, or if there is a case of force majeure such as natural catastrophes, epidemics, war, mobilization, political riots, embargo, labor conflicts, accident or another occurrence which cannot be prevented by the parties despite of using the required carefulness, the time for delivery shall be extended reasonably.

9. Delay in delivery

9.1 For delayed delivery, the customer may claim liquidated damages of ½% for each full week of delay up to a maximum of 5% of the agreed price for the delayed part of delivery, as far as it can be proved that the delay has been caused through the fault of RINCO ULTRASONICS AG and RINCO ULTRASONICS AG cannot deliver substitute material to accommodate the customer.

9.2 If the maximum of liquidated damages for delayed delivery is reached, the customer has to grant RINCO ULTRASONICS AG a reasonable extension of time in writing. If this extension of time expires unused due to reasons for which RINCO ULTRASONICS AG is responsible, the customer shall have the right to refuse the delayed delivery. If a partial acceptance is economically unreasonable for the customer, he has the right to terminate the contract and to reclaim effected payments against the return of effected part-deliveries.

9.3 Due to the delay of supplies and services, the customer has exclusively the titles and claims as mentioned in this article 9. Any exceeding titles or claims are excluded.

10. Packaging, transport and insurance

10.1 The packaging is made by RINCO ULTRASONICS AG at the customer’s costs and won‘t be taken back, unless otherwise agreed.

10.2 The transport shall occur at the customer’s risk and expense. For objections, the customer has to address to the last carrier as soon as he has received the supplies or shipping documents.

10.3 The insurance of the supplies and services against damages of any kind is incumbent on the customer at his costs, even if it has to be effected by RINCO ULTRASONICS AG.

11. Place of execution, Passing of benefit and risk

11.1 Place of execution is Romanshorn, Switzerland.

11.2 Benefit and risk shall pass to the customer at the latest with the delivery of the supplies ex works according to the Incoterms in force at the time when the contract was concluded.

11.3 If the dispatch is delayed due to reasons for which RINCO ULTRASONICS AG is not responsible, the risk shall pass to the customer at the moment for which the delivery ex works was originally scheduled, and the supplies shall be stored at the customer’s risk and costs.

12. Inspection and acceptance of the supplies

12.1 As far as common practice, RINCO ULTRASONICS AG inspects the supplies and services before dispatch. After receipt, the customer shall inspect the supplies and services within a reasonable period and shall be obliged to notify any deficiencies immediately in writing. If he omits such a notice, the supplies and services shall be deemed as accepted.

12.2 Notified deficiencies shall be remedied by RINCO ULTRASONICS AG as soon as possible, and the customer has to give the opportunity of doing so.

12.3 Additional acceptance tests have to be agreed separately.

12.4 Due to deficiencies of any kind of the supplies and services, the customer has no further claims and titles except those explicitly mentioned in this article 12 and the following article 13.

13. Liability for defects; warranty period

13.1 The warranty period is 24 months except for converter, booster and tools were the warranty period is 12 months. The warranty period begins with the dispatch of the supplies ex works. If the dispatch is delayed due to reasons for which RINCO ULTRASONICS AG is not responsible, the warranty period ends at the latest 18 months after RINCO ULTRASONICS AG’s notice of being ready for delivery. For parts which are replaced or repaired during the warranty period, the warranty period is 6 months.

13.2 If the customer or third parties effect inappropriate repairs or alterations without RINCO ULTRASONICS AG’s preceding written approval, the warranty expires prematurely. In the same way, the warranty period expires prematurely if the customer does not undertake all necessary measures to reduce the damage, or if the customer does not immediately give the opportunity to RINCO ULTRASONICS AG to remedy thedeficiency.

13.3 Parts of the supplies which become defective during the warranty period due to bad material, faulty construction or production shall be, at his choice, replaced or repaired by RINCO ULTRASONICS AG as soon as possible. Replaced parts may be taken back by RINCO ULTRASONICS AG and will, in that case, be her property.

13.4 Express guarantees are only those which are explicitly designated as such in the contract or in accompanying specifications or duty manuals. The guarantee ends at the latest with the expiry of the warranty period. If the express guarantees are not fulfilled, the customer has the right to claim improvement and he has to give to RINCO ULTRASONICS AG the opportunity to carry out the improvement. If the improvement fails, the customer has the right to claim a reasonable reduction of price. In case of important defects which cannot be improved within reasonable time and which reduce the usefulness of the supplies and services considerably, the customer has the right to refuse the acceptance of the defective part, and if partial acceptance is economically not reasonable for the customer, he shall have the right to terminate the contract and to reclaim payments effected for the supplies covered by the termination against their return.

13.5 The supplier’s warranty and liability are excluded for defects and damages which have their origin in normal wear and tear, improper maintenance, neglect of operating instructions, excessive load, use of unsuitable material, chemical or other influences in the surroundings, works not undertaken by RINCO ULTRASONICS AG, or in other reasons for which RINCO ULTRASONICS AG is not responsible. The customer acknowledges that the factory setting of the working temperature is 20° Celsius and the working temperature must not be less than 10° Celsius and not more than 45° Celsius. 13.6 The customer has no further claims and titles arising out of warranty, liability for defects or missing express guarantees beside those explicitly mentioned in this article 13.

14. General limitation of liability and exclusion of further liability of the supplier

14.1 For all cases of non- or bad performance attributable to a fault of RINCO ULTRASONICS AG and not explicitly mentioned in these general conditions, the customer is entitled to grant a reasonable additional period for RINCO ULTRASONICS AG to perform the contract correctly. If it lapses due to RINCO ULTRASONICS AG’s fault, the customer shall have the right to terminate the contract with regard to the supplies and services concerned. If partial acceptance is economically not reasonable for the customer, he shall have the right to terminate the contract and to reclaim effected payments against the return of the supplies already executed. If the customer suffers a provable damage, his claim for damages shall be limited to 10% of the price for the supplies and services affected by the termination.

14.2 Unless otherwise agreed, all cases of breach of contract and the relevant legal effects, as well as all legal claims and rights of the customer, independent of their legal basis, are exhaustively covered by these general conditions of supply. Therefore, all not explicitly mentioned claims for damages, reduction of price, termination of or withdrawal from the contract, are excluded. By no means shall the customer have the right to claim consequential damages such as loss of production, restricted use, third partie’s claims for loss of orders or penalties, loss of profit, or any other indirect or consequential damages. This exclusion of liability is not applicable as far as it is in contradiction with compulsory law.

15. Jurisdiction and applicable law

15.1 Exclusive place of jurisdiction shall be the place where RINCO ULTRASONICS AG’s registered office is located.

15.2 The contract shall be governed by the Swiss substantive law. The applicability of the United Nations Convention on Contracts for the International Sale of Goods of April 11, 1980 („Vienna Convention“), is excluded.

15.3 In case of contradiction in the contract or this General Conditions between the German and the English text, the German text shall take precedence.
